Subscription Agreement

Welcome to PieBox !

Before using this service, please carefully read and fully understand this agreement, especially the clauses that exempt or reduce our liability, exclude or limit your rights, or that are of significant interest to you. These clauses will be highlighted in bold, etc., so please pay close attention.

This Subscription Agreement applies to the scenarios where SPARKHUB PTE. LTD. and its affiliates ("we" ,"PieBox","the Platform") provide you with PieBox memberships, subscriptions, and related value-added features and services ("Paid Services" or "this Service"). This Agreement supplements the Terms of Service and Privacy Policy, and together with the foregoing documents, constitutes a unified whole regarding paid services. In the event of any inconsistency between this Agreement and the foregoing documents, the provisions of this Agreement regarding paid services shall prevail. By checking/clicking to confirm on the page, paying fees, activating, or actually using paid services, you are deemed to have read, understood, and agreed to be bound by this Agreement and all service agreements and rules.

We will revise this agreement according to changes in laws and regulations, regulatory requirements, or operational needs. If significant changes are involved (such as pricing mechanisms, automatic renewal rules, substantial adjustments to core functions or responsibilities), we will notify you in a relatively prominent manner. After the update takes effect, your continued use of this service will be deemed as your full reading and agreement to the updated content; if you do not agree, please stop using the service and unsubscribe before the update takes effect.

Minors under the age of 18, or users who are without or have limited civil capacity due to intellectual or mental health reasons, should read this agreement under the supervision of their legal guardian and may only use or purchase this service after the guardian's explicit consent; for matters involving payment, the guardian should handle or explicitly consent to the payment. If you do not possess the corresponding civil capacity, please do not activate or use this service; otherwise, you and your guardian will bear the consequences in accordance with the law.

Section 1. Activation and Use of Paid Services

1.1 Account Registration and Login

You must first register or log in to PieBox and complete account verification as prompted on the page before you can purchase and use paid services. To ensure the normal use and security of the service, you should ensure that the registration information you provide is true, accurate, complete, and up-to-date.

1.2 Payment Mode

We support paid services such as membership subscriptions. Please carefully read this agreement, the rules displayed on the product purchase interface, and the actual descriptions of service rights in related documents before purchasing.

1.3 Activation Process

After you complete the corresponding operations according to the actual product purchase interface and successfully pay the service fee, you can activate paid services such as membership services and obtain the corresponding paid rights.

1.4 Validity Period and Scope of Rights

The validity period and scope of the paid rights you obtain are subject to the descriptions on the product purchase interface and related documents. Please fully understand the relevant descriptions and keep relevant receipts properly before purchasing.

1.5 Marketing and Notifications

We may send you promotional content, user benefits, or special offers related to paid services through your account-linked email address, site announcements, etc. If you do not agree to receive such information, you can follow the instructions provided in the message to close or unsubscribe at any time. We will respect your choice and process your request promptly.

Section 2. Membership Services

2.1 Types of Benefits

We offer users different tiers of membership packages. The specific membership benefits, applicable scope, and spending limits for each package are subject to the actual service benefits displayed on the product interface and in the benefits description document at the time of your purchase. If a function relies on external resources or third-party services, its actual availability will prevail.

2.2 Benefit Content

After activating your membership service, you can enjoy corresponding membership benefits according to the purchased package during the membership service validity period. Membership services provide more service content than basic services, typically including but not limited to model usage limits, the number of times special services can be used, concurrent/multitasking capabilities, and other benefits that are updated from time to time to improve the membership experience.

2.3 Continuous Membership Subscription (Auto-Renewal)

We support continuous membership subscription and provide auto-renewal functionality, including but not limited to continuous monthly subscriptions and continuous yearly subscriptions (subject to the information displayed on the page). By activating auto-renewal, you authorize us to automatically deduct the fee and renew the service at the displayed price for each renewal period. This includes authorizing us to automatically deduct the fee for the next calculation period from your own recharge account or the third-party payment account (collectively, the "Payment Account") linked to the user account that purchased the paid service when the renewal period is about to expire. For some cases where the payment channel determines the deduction period based on the actual situation, the actual deduction time shall prevail. Once the deduction is successful, we will automatically extend the usage period of your corresponding paid service.

Please note the following:

  • You have selected auto-renewal. By renewing the service, you agree that the payment channel may deduct the service fee for the next billing cycle from your linked payment account without verifying your account password, payment account password, payment password, SMS verification code, or other such information;
  • Unless you actively unsubscribe or we actively cancel the automatic renewal service, the automatic renewal service will automatically renew and deduct the fee, without any limit on the number of times;
  • If you do not actively unsubscribe from the automatic renewal service, it will be deemed that you agree that we may deduct the fee within a certain period of the corresponding automatic renewal cycle according to the payment channel's deduction rules (even if your payment account has insufficient funds);
  • Once the automatic renewal payment is successfully deducted, we will automatically extend the usage period of the corresponding paid service for you. The extension period will be based on the billing cycle agreed upon when you selected the automatic renewal service. If force majeure (such as network failure) prevents normal deduction before the billing cycle expires, the deduction date will be postponed until the deduction is successful.
  • In accordance with legal regulations, we will prominently remind you of the automatic renewal date. Please pay attention to our notifications promptly.

2.4 Changes to Benefits

To improve user experience and services, we may update or optimize membership services, features, pricing plans, subscription plans, upgrade/downgrade plans, and user benefits. This may involve the removal or adjustment of some existing features/benefits. We will explain these changes in a reasonable and transparent manner. For significant changes involving prices, core benefits, or renewal rules, we will notify or remind you in advance in a prominent manner. Your continued use/failure to cancel after the changes take effect constitutes your agreement to the adjustments. If this has a material adverse effect on your purchased and still valid core benefits, we will provide alternative benefits of equal or higher value, provide reasonable compensation for the unfulfilled portion, or provide a cancellation/refund option (subject to the announcement at that time).

2.5 Benefits Validity Period

Please understand that all membership benefits you obtain through the subscription plan will be issued on a monthly basis during the subscription period. Each monthly benefit is valid for one month, and any unused benefits will automatically expire upon expiration. During the validity period of your activated paid service, the user account linked to that service will be your membership account; you must log in to your membership account to use membership benefits. The validity period of the membership service is subject to the information published on the relevant page. If the validity period expires and you do not renew or purchase other membership services, your membership account will revert to a regular account, and the corresponding membership benefits will terminate. Unless otherwise stated, unused credits or benefits will be cleared upon expiration and will not be carried over, redeemed for cash, or refunded.

2.6 Validity Period Inquiry

You can log in to your membership account to check information about your activated paid benefits (such as permissions, validity period, etc.).

2.7 Membership Service Changes

To improve user experience, in certain scenarios, we support members upgrading or changing their existing membership packages. The types of membership packages supported for updates, payment and price difference rules, and the order of membership benefits activation are subject to the information displayed on the membership purchase page, relevant operation guidelines, or documentation at the time of your actual purchase. If price differences, invoice issuance, or automatic renewal price adjustments occur due to upgrades or changes, the specific handling method will be subject to the announcements or operation guidelines on the page at that time.

2.8 Unsubscribe

You have the right to choose whether to unsubscribe from the currently selected automatic renewal service. If you successfully unsubscribe, the automatic renewal service will not be renewed upon expiration, but this will not affect the current valid benefits. Specific unsubscription procedures are subject to the payment client/payment channel.

Section 3. Fees and Payment

3.1 Fee Adjustment Notice

We may reasonably adjust our existing pricing schemes or service items (including but not limited to specific rights, payment models, validity periods, and complimentary benefits) based on market and business development, operational needs, and adjustments to responsibilities. We will notify you in advance through product pages or announcements. Your continued purchase, renewal, clicking "agree," or use of paid services constitutes your understanding and agreement to be subject to the latest pricing scheme. We will make reasonable efforts to protect your right to know and your right to choose.

3.2 Price Explanation

Unless otherwise specified, the price descriptions on the purchase page and related instructions are for reasonable understanding and interpretation. Price information may vary due to system delays or display uncertainties; the price on the order settlement page shall prevail. If you find any discrepancies, please contact customer service promptly, and we will verify and correct them.

3.3 Payment Method

Please complete your payment through our designated official payment channels. Choosing unofficial channels may result in payment failure and other losses or risks. If this causes damage to you or any third party, you will be solely responsible for handling the situation and bear the corresponding liability. We assume no responsibility whatsoever, and we reserve the right to suspend some or all of your privileges, freeze your pre-paid balance, temporarily or permanently ban your account, and/or prohibit you from using any paid services at any time.

3.4 Refund and Transfer Policy

This service is a virtual service. Once successfully purchased and activated, the paid service is considered successfully consumed and is non-refundable and non-transferable, except as otherwise provided by laws and regulations. Before purchasing any paid service, please carefully verify the service and rights information, price, usage period, and relevant usage rules of this agreement, and carefully verify your user account information.

Section 4. Suspension and Termination of Paid Services

4.1 Circumstances for Suspension or Termination

We have the right to suspend or terminate the payment services you have purchased under any of the following circumstances:

  • You voluntarily apply for suspension or termination, including but not limited to not renewing the service upon expiration or voluntarily canceling your user account;
  • You violate laws and regulations, this agreement, or any platform rules, or abuse this service;
  • Due to force majeure events or changes in circumstances such as national laws and regulations, administrative orders, or regulatory requirements, we need to suspend or terminate the corresponding payment services;
  • Other circumstances for suspension or termination stipulated by laws and regulations or this agreement.

4.2 Consequences of Suspension or Termination

When the aforementioned circumstances lead to the suspension or termination of the payment services, we have no obligation to continue providing the corresponding services to you, nor do we need to assume any other legal obligations related to the service, and the fees you have already paid will not be refunded. If we suffer third-party claims, administrative penalties, or other losses due to your illegal or breach of contract, you shall compensate us for the losses and expenses incurred.

Section 5. Risks and Usage Tips

5.1 Comply with Platform Rules

Please be sure to comply with the Terms of Service, Privacy Policy, and other platform agreements and user behavior guidelines. If your service is restricted or suspended due to your breach of contract, you will be solely responsible for the corresponding consequences.

5.2 Rational Consumption

We advocate on-demand and rational consumption. Please purchase the corresponding paid services according to your actual needs.

5.3 Risk Warning and Limitation of Liability

Although this service is a paid service, due to the inherent limitations of artificial intelligence, the technical limitations and risks are consistent with those of the basic service. Before paying, please be sure to fully read the service description, risk warning, and limitation of liability clauses in the PieBox Terms of Service. Furthermore, you will be solely responsible for any loss or liability arising from our inability to provide paid services or any errors that occur when providing paid services due to your own or a third party's reasons. We will not be liable for any such loss or liability, including but not limited to:

  • your account being invalid, lost, or suspended;
  • Losses or liabilities caused by your linked third-party payment institutions, banks, or other accounts, including using unverified accounts or accounts not belonging to you, your payment account being frozen or seized, and unsuccessful deductions or renewals due to the status of your payment account and available funds;
  • financial losses caused by disclosing your password to others;
  • financial losses caused by your personal fault.

5.4 Consumer Notice Regarding Minors

If you are a minor under the age of 16, please do not use this platform's services or activate any related subscription functions. If you are 16 years of age or older but under 18 years of age (or under the legal age of majority in your jurisdiction), you must read this Agreement under the supervision of a legal guardian. Usage of VIP membership services by minors must be expressly authorized by the guardian. Guardians are responsible for educating minors on online safety and must apply for subscription services on their behalf. If a minor activates Auto-Renewal, it shall be deemed that the guardian has consented. The guardian assumes full responsibility for any charges, cancellations, and disputes.

Section 6. Terms and Conditions Changes

This platform reserves the right to change the terms and conditions of this agreement and membership rules as needed for operation. The revised terms will supersede the original terms upon publication, and the platform will notify you of the changes via email, in-app messages, or other means. Your continued use of the service after the terms and conditions have been changed constitutes your acceptance of the new terms and conditions.

Section 7. Governing Law

This Agreement shall be governed by and construed following the laws of Singapore, excluding conflict of law principles.

Section 8. Dispute Resolution

8.1 Disputes Between You and Us

You agree to first contact us in good faith to resolve any claim, dispute, or controversy ("Dispute") arising from or relating to this Agreement, including its validity or termination. If unresolved, the Dispute shall be submitted to the Singapore International Arbitration Centre (SIAC) and resolved in accordance with its rules. The arbitration shall be conducted in Singapore in English. The arbitrator's award shall be binding and enforceable in any jurisdiction. You may only assert claims in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

8.2 Disputes with Third Parties

To the fullest extent permitted by law, disputes between you and third parties (e.g., service providers, content owners) shall be resolved independently by you and such parties. We shall not be held liable for any claims, demands, or damages (actual or consequential) arising from disputes between you and any third party. You agree not to bring any claims against PieBox and to indemnify us against any liability arising from such disputes.
